Co-Investment Agreement - Pledge Fund


Abstract

Typically, a minority investment, a co-investment is made with a private equity investor. Co-investors allow a manger to make a larger investment while at the same time limiting the funds exposure to a single transaction. In most cases, co-investors are limited partners in an investment fund; and since their investment is made outside of the investment fund, they typically don't pay investment fees or carried interest. The pe firm will usually exercise control thereby making the co-investment a passive one.
