Written Consent In Lieu Of Organizational Meeting


Abstract

An organizational meeting is an initial meeting where the formation of the corporation is completed. At the organizational meeting many tasks are completed such as the ratification of articles of incorporation, issue of initial shares, election of officers, and approval of bylaws. Or, in lieu of the meeting, a corporation can prepared an official written consent in lieu of a meeting to handle all the business and appointments required for such a meeting. This is a statutorily mandated step for a corporation meaning it is required for one to have a proper and complete incorporation.
