Stock Option Expensing - Impact on VC Companies

Scott N. Olsen, Principal, Human Resource Services Practice, PricewaterhouseCoopers LLP

Scott N. Olsen is a Principal at PricewaterhouseCoopers’ Human Resource Services Practice in the New York office, and serves as the National Leader of the firm’s Total Compensation practice. Mr. Olsen has over 20 years of experience in executive compensation and benefits, including four years of experience in a corporate environment. He specializes in executive compensation governance, total compensation strategy, and incentive design, including both equity incentives, and incentives based on operating performance. He has worked with companies in a variety of industries, in the United States as well as in Europe, Asia, and Latin America. Mr. Olsen received a B.A. in Mathematics from the University of Pennsylvania, and a B.S. in Economics from the Wharton School of the University of Pennsylvania.

John B. Watkins, Vice Chair, Corporate Department, Wilmer Cutler Pickering Hale and Dorr LLP

John B. ("Jay") Watkins has a general corporate and securities practice, with particular emphasis on securities offerings transactions (both public and private), private equity and venture capital, mergers and acquisitions, and real estate investment trusts (REITs). He has represented numerous investment banking firms, as well as merchant banking, private equity, and venture capital funds in connection with fund formations, initial public and follow-on offerings, acquisitions of controlling interests, debt and equity investments, and LBO/MBO financings. Mr. Watkins is a member of the ABA Business Law Section (Venture Capital and Private Equity, Federal Regulation of Securities, and Partnerships and Unincorporated Business Organizations Committees) and has been an instructor in numerous continuing education courses and other programs in the area of corporate and securities laws.

Shelley M. Zoler, Director, Securities Division, TIAA-CREF

Shelley M. Zoler is a Director in the Securities Division of TIAA-CREF. Since April 1998 she has been on an eight-person production team responsible for TIAA’s private equity fund investing. For 2003 the team made approximately $500 million of fund commitments and $100 million of co-investments alongside TIAA’s equity fund managers. The team is targeting $800 million of fund commitments and $200 million of co-investments for 2004. TIAA’s total commitments to private equity funds at year-end 2003 were approximately $3.9 billion. Shelley is responsible for 21 of TIAA’s 70-plus private equity fund manager relationships and six active co-investments. She is on the LP Advisory Boards of 16 funds. Shelley holds a JD degree from Northwestern University School of Law and a BA, cum laude from SUNY at Buffalo.
