Maintaining Management Motivation when Drowning in Dilution

Michael Bain, Senior Partner, Hale and Dorr LLP

Michael Bain specializes in the representation of entrepreneurs and venture-backed high technology companies. Mr. Bain advises early stage companies on formation issues, equity and compensation matters, protection of technology, and seed stage through later-stage venture capital financings. He has served as counsel for emerging technology companies in a broad range of industries, including software, storage, semiconductors, network security, telecommunications, web services and life sciences. Mr. Bain was previously associate general counsel of CMGI, Inc., where he advised CMGI and its subsidiaries with respect to a variety of domestic and international transactions, including venture capital investments, mergers and acquisitions and international joint ventures in Asia, Europe and South America.Mr. Bain received a J.D. degree, magna cum laude, from Boston University School of Law, and a B.A. degree, magna cum laude, from Providence College, where he was elected to Pi Sigma Alpha. Mr. Bain also studied at the Sorbonne in Paris, France.


Reevaluating Representation and Warranties

Robert B. Spofford, President, The Spofford Group

Mr. Spofford has over 20 years of insurance experience including both underwriting and brokering of both traditional and non-traditional management liability and "deal facilitation" coverages including unique coverages for the private equity community. He was an underwriting manager for the Chubb Group of Insurance Company's Department of Financial Institutions in the Northeast Region. Following a position with a regional insurance brokerage firm, Mr. Spofford joined Willis Corroon Corporation of Massachusetts as an Assistant Vice President, Producer and Account Executive. During his tenure at Willis Corroon, Mr. Spofford was promoted to the office of Vice President and consistently achieved Exceptional Producer status. In 1995 Mr. Spofford established his own specialty insurance brokerage firm focusing exclusively on developing and implementing sophisticated traditional and non-traditional management liability and "deal facilitation" risk management programs with a special emphasis on private equity issues. A graduate of Northeastern University, Mr. Spofford earned a B.S. in Finance and Insurance.


Understanding Product Pricing Paradigms

John Gauch, IBM

John Gauch is a senior finance professional with IBM's Lotus Software brand. In his current role, as an IBM "Pricer," Mr. Gauch develops business cases to evaluate Lotus' investment opportunities, focusing on the emerging software as a service marketplace. He also advises the sales force on product pricing and transaction terms when IBM enters into relationships with OEMs, independent software vendors and application service providers. In his prior position at IBM, as a Business Development manager, Mr. Gauch evaluated merger and acquisition opportunities and developed, negotiated and closed strategic relationships for Lotus.

Mr. Gauch brings to IBM in-depth business and legal experience. After graduating from New York University's School of Law, in 1996, Mr. Gauch joined Cravath, Swaine & Moore as a corporate finance associate. At Cravath he represented public and private companies in equity and debt offerings, commercial lending, Securities and Exchange Commission compliance and mergers and acquisitions. He then joined the Technology Transactions Group in the New York office of Morrison & Foerster, where he advised start-up and emerging growth technology firms. Mr. Gauch represented his clients on matters such as entity formation and initial capitalization, private equity placements and intellectual property transactions, including licensing, Internet, joint development and distribution arrangements.
