Coping with D&O's Increasing Costs and Decreasing Coverage
Robert B. Spofford, President, The Spofford Group
Mr. Spofford has over 20 years of insurance experience including both underwriting and brokering of both traditional and non-traditional management liability and "deal facilitation" coverages including unique coverages for the private equity community. He was an underwriting manager for the Chubb Group of Insurance Company's Department of Financial Institutions in the Northeast Region. Following a position with a regional insurance brokerage firm, Mr. Spofford joined Willis Corroon Corporation of Massachusetts as an Assistant Vice President, Producer and Account Executive. During his tenure at Willis Corroon, Mr. Spofford was promoted to the office of Vice President and consistently achieved Exceptional Producer status. In 1995 Mr. Spofford established his own specialty insurance brokerage firm focusing exclusively on developing and implementing sophisticated traditional and non-traditional management liability and "deal facilitation" risk management programs with a special emphasis on private equity issues. A graduate of Northeastern University, Mr. Spofford earned a B.S. in Finance and Insurance.

Douglas Rothstein, Principal, Polachi & Co.
Douglas Rothstein has over five years of experience as an executive in marketing, and over four years of experience in recruiting and strategic consulting for high-growth and emerging technology companies including software, infrastructure, telecommunications and Internet businesses. His experience includes advising and recruiting venture capital partners and principals, C-level officers and Board members. Prior to joining Polachi & Company in February of 2002, Douglas was a principal at Heidrick & Struggles in their Wellesley, Massachusetts office. He joined Heidrick & Struggles in 1998, upon completion of business school, and teamed with Charley Polachi. At Heidrick, Douglas was a leader who helped establish the Worldwide Private Equity Practice and was an active member of the International Technology Practice. Most of his clients included venture-backed start-ups, Boards from various high-technology companies and venture capital firms. Douglas holds a Bachelor of Commerce honors degree in Marketing from the University of Manitoba in Canada and an MBA in Finance from Boston College. He is actively involved in assisting graduating MBAs with their career decisions.

Jay Bothwick, Senior Partner, Hale and Dorr LLP
Jay Bothwick focuses his practice in the areas of mergers and acquisitions, venture capital and corporate finance. He has represented public and private companies and venture capital entities in a variety of matters, both domestically and overseas, including mergers and acquisitions, public and private offerings, tender and exchange offers and proxy contests. Mr. Bothwick has represented acquiring companies and target companies in transactions ranging from small asset sales to mergers and tender offers for New York Stock Exchange Companies. Mr. Bothwick received a J.D. from Columbia University School of Law, and is a summa cum laude graduate of Bowdoin College, where he was elected to Phi Beta Kappa. He joined Hale and Dorr in 1981. Mr. Bothwick is admitted to practice in the Commonwealth of Massachusetts.

Michael Davies, Founder, Mercator Partners
Michael Davies works with the top management teams of leading incumbent, insurgent and investment firms in Europe, North America and Asia-Pacific. He founded Mercator Partners, a leading consulting firm focused on technology businesses, and is now writing a book on how the leaders of these businesses can improve the odds that they will survive and thrive, as well as working together with some leading academic institutions on these issues. Michael has more than 20 years experience as an engineer, business strategist, senior manager and industry pioneer building businesses that harness emerging and evolving technologies. He began his career designing microchips, working as a roboticist and cyberneticist, and leading large-scale, real-time systems engineering programs. As a pioneer of mobile data, Michael worked with Nokia and Apple in the early '90s to develop the first PDA with digital cellular connectivity. As a policy maker, he has chaired government working parties and led a major global academic research program on the economics of telecommunications in deregulated markets. Michael holds two Master's degrees in Engineering and earned an MBA (with Distinction) from London Business School.
