The Raging Debate About Valuations for Transaction and Reporting
Doug Rogers, Executive Vice President, CBIZ Valuation Group
Mr. Rogers is a financial advisor at CBIZ Valuation Group, with an extensive background in investment banking, corporate finance, and strategic planning. He has specialized in raising private equity capital, developing corporate financial strategies, devising strategic and marketing plans, and advising on mergers and acquisitions for early-stage start up to mid-sized companies. Previously, he was involved in managing all phases of public transactions for Dean Witter Reynolds in New York. In total, Mr. Rogers has been involved in nearly $3 billion in equity and debt financings.
Mr. Rogers received a bachelor of arts degree in economics from Stanford University, where he also had a minor in German. He subsequently was awarded the degree of master in business administration from Harvard University, where he concentrated in finance.

Accounting and Tax Issues for Venture Capital Firms

Bob has extensive experience addressing the needs of owner-managed companies, venture capital firms and venture-backed start-ups. Presently, Bob is the senior engagement partner for venture capital fund clients including AT&T Ventures, Constellation Ventures, Draper Fisher Jurvetson Gotham Ventures, L.P., East River Ventures, Ericsson Venture Partners, Euclid Partners, FS Private Investments, Hudson Ventures, KBL Healthcare Ventures and Soundview Ventures.
Bob is a regional director of PwC's quarterly Money Tree Venture Capital Survey, which is widely considered to be the clearest measure of "core" investments in venture-backed companies in the United States. Bob is co-chairman of the NY Software Industry Association (NYSIA) and a charter member of the NY New Media Association.

Adam Zoia, Founder and Senior Managing Partner, Glocap Search
Glocap Search is the largest alternative asset search firm in the country measured by number of placements. Mr. Zoia will present findings from a recent survey of more than 1,000 private equity professionals. Before founding Glocap, Adam worked at DLJ and McKinsey.
Adam started his career as an academic teaching Economics at Harvard College. He holds a B.S. in Economics from the Wharton School, a B.A. in History from the University of Pennsylvania, an Honours B.A. and a Masters in Politics, Philosophy & Economics from Oxford University and a JD from Harvard Law School.

Michael J. Nathanson, Senior Partner, Hale and Dorr LLP
Michael Nathanson represents and advises business and individual clients in tax planning for a broad range of transactions, including business formations, acquisitions, dispositions and reorganizations, executive and employee compensation, debt and equity financings, investments, bankruptcies and workouts, and sales and exchanges. He also provides advice on a regular basis to clients in need of guidance on matters of state income, property, and sales and use taxation. In addition, Mr. Nathanson has an extensive tax controversy/ dispute-resolution practice, involving the representation of clients in administrative and judicial settings at both the state and federal levels.
Among the many topics on which Mr. Nathanson has written are tax-deferred like-kind exchanges, tax considerations in effecting environmental remediations, corporate income taxation, capital gain taxation, choice of business entity, appellate tax procedure, state and international taxation of the Internet, sales and use taxation, state tax planning and federal tax reform. Mr. Nathanson received a J.D, cum laude, from Harvard Law School, an LL.M. from Boston University School of Law and an A.B. degree, summa cum laude, from Brandeis University, where he was elected to membership in Phi Beta Kappa and was the recipient of several academic honors.
