Legal Drafter's Toolkit

The Legal Drafter's Toolkit is the answer to the problem of best practices in legal documentation. Here, the transactional documents are dissected and the provisions arranged into sample clauses and indexed in accordance with the subject matter.

LLC Agreement

A LLC is a company owned by "members" who either manage the business themselves or appoint "managers" to run it for them. All members and managers have the benefit of limited liability, and, in most cases, are taxed in the same way as a subchapter S corporation, i.e. flow-through taxation, without having to conform to the S Corporation restrictions.

Limited Partnership Agreements

A limited partnership is an organization comprised of a general partner, who manages a fund, and limited partners, who invest money but have limited liability and are not involved with the day-to-day management of the fund. In the typical venture capital fund, the general partner receives a management fee and a percentage of the profits (or carried interest). The limited partners receive income, capital gains, and tax benefits.

Agent/Financial Adviser Agreement

Financial Advisers are a group of external advisers to a private equity group or portfolio company. Advice provided varies from overall strategy to portfolio valuation.

Engagement Letters

The Standard Engagement Letter describes the terms upon which a legal firm will provide legal services to a client and bill the client for those services.

What is the Legal Drafter's Toolkit?

In drafting a transactional document for private equity, venture capital, M&A, public flotations, etc., most attorneys take the time, if time is allowed, to review a menu of the documents, in an attempt to identify and distill the best language and most elegant manner of expression from each. However, no one has the time to wade through ten or more 50 page agreements, attempting to distill the best, most complete text on a particular subject from each.

The Legal Drafter's Toolkit, however, is the answer. The transactional documents are dissected and the provisions arranged into sample clauses and indexed in accordance with the subject matter. As we continue to build out the models, sifting for the best expression and the most comprehensive coverage the Toolkit will continue to improve ... a resource that no professional can afford to be without.
