Abstract
Newco LLC [Date _______________] Lead Investors, Inc.________________________________________________________________ Newco Partners, L.P. Ladies and Gentlemen: This letter is executed and delivered to confirm certain agreement with respect to the investment being made by Lead Investors, Inc. (together with its affiliates, collectively "Lead Investors") in Newco Partners, L.P. (the "Partnership"), and the execution, delivery and performance by Lead Investors of that certain Limited Partnership Agreement (the "Partnership Agreement") of the Partnership dated as of _______ __, 200__. In consideration of the investment of Lead Investors in the Partnership, the General Partner agrees to designate Lead Investors as ABC Limited Partner ("ABC LP") and to adhere to the provisions set forth herein.
