Abstract

Newco LLC [Date _______________] Lead Investors, Inc.________________________________________________________________ Newco Partners, L.P. Ladies and Gentlemen: This letter is executed and delivered to confirm certain agreement with respect to the investment being made by Lead Investors, Inc. (together with its affiliates, collectively "Lead Investors") in Newco Partners, L.P. (the "Partnership"), and the execution, delivery and performance by Lead Investors of that certain Limited Partnership Agreement (the "Partnership Agreement") of the Partnership dated as of _______ __, 200__.
