Abstract

The staff considers it proper to only request acceleration of the effective date of a registration statement when your examiner indicates that the staff has no further comments. It is recommended that you reserve the right to orally request acceleration of the effective date pursuant to Rule 461. This could save you valuable time when fighting the clock to get a registration statement declared effective. In order to request effectiveness orally, you should include a letter in your initial filing package on behalf of issuer and, if the offering is underwritten, the managing underwriter, indicating both parties' intention to request acceleration orally and an acknowledgment of their obligations under the 1933 Act.
