Abstract

Net Asset Value Determined by Appraisal The Determined Price per Share shall be a figure that bears the same proportionate relationship to the net asset value of the Company that one of the Offered Shares bears to the total number of Shares of the Company issued and outstanding (exclusive of Treasury shares). The net value of the Company shall be determined by appraisal. Shareholders shall agree upon one or more appraisers within _______________(____) days following the Offer Date.
