Abstract

Public Offering Public Offering means both (i) the date of the effectiveness of any registration statement relating to the underwritten distribution of the Company's Common Stock which is filed by the Company under the Securities Act of 1933 [with proposed maximum offering proceeds to the Company (calculated in accordance with Rule 457 under the '33 Act, as such rule may be amended from time to time) of $10,000,000 or more], and (ii) the process of distributing such common stock to the public. The phrase in brackets is used when the parties have agreed to exclude minor public offerings. Often, the definition is "Qualified Public
